Definitions and Interpretation

在本协议中，除非上下文另有要求，下列术语具有如下含义：

In this Agreement, unless the context otherwise requires, the following terms shall have the following meanings:

• "本公司"指惠州市广务商务有限公司及其关联公司
• "用户"指使用本公司服务的任何个人或实体，包括其雇员和代理人
• "服务"指本公司提供的数字营销及相关服务，包括但不限于本合同列明的服务
• "协议"指本服务条款及任何补充协议、附件和附录
• "内容"指通过服务上传、发布、传输或显示的任何文本、图像、视频、音频等材料
• "工作日"指中国广东省的法定工作日，不包括周末和法定节假日

• "Company" means Huizhou Guangwu Business Co., Ltd. and its affiliates
• "User" means any individual or entity using the Company's services, including their employees and agents
• "Services" means the digital marketing and related services provided by the Company, including but not limited to those listed in this contract
• "Agreement" means these Terms of Service and any supplementary agreements, attachments and appendices
• "Content" means any text, images, videos, audio or other materials uploaded, posted, transmitted or displayed through the services
• "Business Day" means a legal working day in Guangdong Province, China, excluding weekends and statutory holidays

The Company is a professional digital marketing service provider, mainly offering the following services for the "food, beverage and entertainment" industry in Guangdong Province, including but not limited to:

• 社交媒体账号运营与内容管理
• 数字广告策划、投放与优化
• 品牌内容创作与传播
• 数据分析与营销效果评估
• 线上活动策划与执行
• 搜索引擎优化(SEO)与搜索引擎营销(SEM)
• 电子商务平台运营与推广

• Social media account operation and content management
• Digital advertising planning, placement and optimization

Acceptance of Agreement

用户通过以下任一方式即表示已充分阅读、理解并无条件接受本协议的全部条款：

The User indicates that they have fully read, understood and unconditionally accepted all terms of this Agreement by any of the following methods:

• 书面签署本协议或包含本协议引用的合同文件
• 通过电子方式（包括但不限于点击"同意"按钮、电子签名等）确认接受
• 实际使用本公司提供的服务
• 支付服务费用

• Signing this Agreement or contract documents containing reference to this Agreement in writing
• Confirming acceptance through electronic means (including but not limited to clicking the "Agree" button, electronic signature, etc.)
• Actually using the services provided by the Company
• Paying service fees

协议修改

Modification of Agreement

本公司保留随时修改本协议条款的权利。修改后的协议将在本公司官网公布后生效。用户继续使用服务即视为接受修改后的协议。

The Company reserves the right to modify the terms of this Agreement at any time. The modified agreement will take effect after being published on the Company's official website. Continued use of the services shall be deemed as acceptance of the modified agreement.

在遵守本协议的前提下，用户享有以下权利：

• 按照协议约定获得本公司提供的服务
• 对本公司服务提出改进意见和建议
• 在提前30天书面通知的情况下终止服务
• 依法享有的其他权利

• Receive services provided by the Company in accordance with the Agreement
• Make suggestions for improvement of the Company's services
• Terminate services with 30 days' prior written notice
• Other rights granted by law

用户义务

User Obligations

用户承诺并保证：

The User promises and guarantees that:

• 提供真实、准确、完整的注册及业务信息，并及时更新变更信息
• 按时足额支付服务费用及相关税费
• 不得利用服务从事任何违法活动或侵犯第三方权益的行为
• 遵守本协议及所有适用的法律法规，包括但不限于《中华人民共和国广告法》、《网络安全法》等
• 对因提供虚假信息或违规操作导致的后果承担全部法律责任
• 不得反向工程、反编译或试图获取服务的源代码
• 不得干扰或破坏服务的正常运行

• Provide true, accurate and complete registration and business information, and promptly update any changes
• Pay service fees and related taxes in full and on time
• Not use the services for any illegal activities or infringement of third-party rights
• Comply with this Agreement and all applicable laws and regulations, including but not limited to the Advertising Law of the People's Republic of China, Cybersecurity Law, etc.
• Bear full legal responsibility for consequences caused by providing false information or violating operations
• Not reverse engineer, decompile or attempt to obtain the source code of the services
• Not interfere with or disrupt the normal operation of the services

服务费用与支付

Service Fees and Payment

费用标准

Fee Standards

服务费用以双方签订的具体服务协议为准。除非另有约定，所有费用应以人民币计算和支付。

Service fees shall be subject to the specific service agreement signed by both parties. Unless otherwise agreed, all fees shall be calculated and paid in RMB.

支付方式

Payment Methods

用户可通过银行转账、在线支付或其他双方认可的方式支付服务费用。所有支付应附上相应的合同编号以供核对。

Users may pay service fees by bank transfer, online payment or other methods agreed by both parties. All payments should include the corresponding contract number for verification.

逾期付款

Late Payment

如用户未按时支付费用：

If the User fails to pay on time:

• 逾期7天内，本公司有权暂停服务直至付清欠款
• 逾期超过15天，本公司有权单方面终止服务并保留追索权
• 用户应承担逾期付款产生的违约金（按未付金额的0.05%/日计算）
• 本公司有权要求用户预付后续服务费用或提供担保
• 用户应承担本公司因追讨欠款产生的合理费用（包括律师费、诉讼费等）

• Within 7 days of overdue, the Company has the right to suspend services until payment is made in full
• Overdue for more than 15 days, the Company has the right to unilaterally terminate the services and reserve the right of recourse
• The User shall bear the liquidated damages for late payment (calculated at 0.05% of the unpaid amount per day)
• The Company has the right to require the User to prepay subsequent service fees or provide guarantees
• The User shall bear the reasonable costs incurred by the Company in recovering debts (including attorney fees, litigation costs, etc.)

Company's Intellectual Property

本公司保留服务中所有内容（包括但不限于文字、图形、标识、软件、技术方案等）的知识产权。未经书面许可，用户不得复制、修改、传播或商业利用这些内容。

The Company retains all intellectual property rights to all content in the services (including but not limited to text, graphics, logos, software, technical solutions, etc.). Without written permission, Users may not copy, modify, distribute or commercially use this content.

用户内容授权

User Content License

用户授予本公司非独占的、全球性的、免版税的权利，使用用户提供的内容（文字、图片、视频等）用于提供服务及营销推广目的。

The User grants the Company a non-exclusive, worldwide, royalty-free right to use the content provided by the User (text, images, videos, etc.) for the purpose of providing services and marketing promotion.

数据保护与隐私

Data Protection and Privacy

本公司将按照《隐私政策》和适用法律法规处理用户数据。用户同意本公司：

The Company will process User data in accordance with the Privacy Policy and applicable laws and regulations. The User agrees that the Company may:

• 为提供服务之目的收集、存储和使用用户数据
• 在必要时与第三方服务提供商共享必要数据
• 依法向监管部门提供相关数据
• 对数据进行匿名化处理后用于统计分析
• 为履行法定义务或保护合法权益而处理数据

• Collect, store and use User data for the purpose of providing services
• Share necessary data with third-party service providers when necessary
• Provide relevant data to regulatory authorities in accordance with the law
• Use anonymized data for statistical analysis
• Process data to fulfill legal obligations or protect legitimate rights and interests

如用户为欧盟数据主体，本公司将按照《通用数据保护条例》(GDPR)处理个人数据。用户有权：

If the User is an EU data subject, the Company will process personal data in accordance with the General Data Protection Regulation (GDPR). The User has the right to:

• 限制或反对数据处理
• 数据可携带权
• 向监管机构投诉

Service Changes

本公司保留随时修改或中断特定服务的权利。如变更将实质性影响用户权益，本公司将提前30天通知。

The Company reserves the right to modify or discontinue specific services at any time. If changes will materially affect User rights, the Company will provide 30 days' notice.

协议终止

Agreement Termination

在以下情况下，本协议可能终止：

This Agreement may be terminated under the following circumstances:

• 双方协商一致终止
• 用户严重违反协议条款
• 用户未按时支付费用且逾期超过15天
• 不可抗力导致服务无法继续
• 法律法规要求终止
• 用户破产、清算或停止经营

• Termination by mutual agreement
• User materially breaches the terms of the Agreement
• User fails to pay on time and is overdue for more than 15 days
• Force majeure makes it impossible to continue services
• Termination required by laws and regulations
• User bankruptcy, liquidation or cessation of business

终止后果

Consequences of Termination

协议终止后：

After termination of the Agreement:

• 用户应立即支付所有未付费用
• 本公司将停止提供服务并删除用户数据（依法需保留的除外）
• 不影响终止前已产生的权利义务
• 用户应返还或销毁从本公司获得的所有机密信息
• 知识产权、保密义务、责任限制等条款继续有效

• The User shall immediately pay all unpaid fees
• The Company will stop providing services and delete User data (except as required by law)
• Does not affect rights and obligations accrued prior to termination
• The User shall return or destroy all confidential information obtained from the Company
• Provisions on intellectual property, confidentiality obligations, limitation of liability, etc. shall continue to be effective

本公司提供的服务按"现状"和"可用"的基础提供。在法律允许的最大范围内，本公司明确声明：

The services provided by the Company are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, the Company expressly disclaims:

• 不保证服务将满足用户的特定需求
• 不保证服务不会中断或没有错误
• 不保证通过服务获得的任何结果的准确性或可靠性
• 不对第三方提供的内容或服务负责
• 不保证服务的及时性、安全性或不受干扰
• 不对因使用或无法使用服务导致的业务损失负责

• Does not guarantee that the services will meet the User's specific requirements
• Does not guarantee that the services will be uninterrupted or error-free
• Does not guarantee the accuracy or reliability of any results obtained through the services
• Is not responsible for content or services provided by third parties
• Does not guarantee the timeliness, security or uninterrupted nature of the services
• Is not responsible for business losses caused by use or inability to use the services

责任限制

Limitation of Liability

在法律允许的最大范围内，本公司对因使用或无法使用服务而导致的任何间接、附带、特殊、后果性或惩罚性损害赔偿不承担责任，包括但不限于：

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential or punitive damages resulting from the use or inability to use the services, including but not limited to:

• 利润损失
• 商誉损失
• 数据丢失
• 业务中断
• 替代服务成本

• Loss of profits
• Loss of goodwill
• Data loss
• Business interruption
• Cost of substitute services

本公司对任何情况下的全部责任不超过用户已支付的服务费用。

The Company's total liability in any event shall not exceed the service fees paid by the User.

不可抗力

Force Majeure

对于因不可抗力（包括但不限于自然灾害、政府行为、网络故障、战争、罢工、疫情等）导致的协议无法履行或延迟履行，受影响的一方应及时通知另一方，双方均不承担责任。受影响方应采取合理措施减少损失。

Neither party shall be liable for failure or delay in performance of this Agreement due to force majeure (including but not limited to natural disasters, government actions, network failures, war, strikes, epidemics, etc.). The affected party shall promptly notify the other party, and both parties shall take reasonable measures to mitigate losses.

法律适用与争议解决

Governing Law and Dispute Resolution

法律适用

Governing Law

本协议的订立、效力、解释、履行和争议解决均适用中华人民共和国法律（不包括冲突法规则）。联合国国际货物销售合同公约不适用于本协议。

The conclusion, validity, interpretation, performance and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China (excluding conflict of laws rules). The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.

争议解决

Dispute Resolution

因本协议引起的或与本协议有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均可将争议提交本公司所在地有管辖权的人民法院诉讼解决。

Any dispute arising from or in connection with this Agreement shall first be resolved through friendly negotiation between the parties; if negotiation fails, either party may submit the dispute to the competent people's court in the location of the Company for litigation.

其他条款

Miscellaneous

完整协议

Entire Agreement

本协议构成双方就服务达成的完整协议，取代所有先前的口头或书面协议。本协议的附件和补充协议与本协议具有同等法律效力。

This Agreement constitutes the entire agreement between the parties regarding the services and supersedes all prior oral or written agreements. The attachments and supplementary agreements to this Agreement have the same legal effect as this Agreement.

可分割性

Severability

如本协议任何条款被认定为无效或不可执行，不影响其他条款的效力。双方应协商确定最接近原意的有效条款予以替代。

If any provision of this Agreement is held to be invalid or unenforceable, the validity of the remaining provisions shall not be affected. Both parties shall negotiate to determine the valid provision closest to the original intent as a replacement.

通知

Notices

所有通知应以书面形式发送至双方最新提供的地址。电子通知自发送时视为已送达。重要通知应通过挂号信或快递方式发送。

All notices shall be sent in writing to the most recent address provided by both parties. Electronic notices shall be deemed delivered at the time of sending. Important notices shall be sent by registered mail or courier.

权利保留

Reservation of Rights

本公司未行使或延迟行使本协议项下的任何权利，不构成对该权利的放弃。单项权利的放弃不构成对其他权利的放弃。

The Company's failure or delay to exercise any right under this Agreement shall not constitute a waiver of that right. A waiver of a single right shall not constitute a waiver of other rights.

转让限制

Assignment Restrictions

未经本公司事先书面同意，用户不得转让本协议项下的任何权利或义务。本公司有权将本协议转让给关联公司或收购方。

Without the prior written consent of the Company, the User may not assign any rights or obligations under this Agreement. The Company has the right to assign this Agreement to affiliates or acquirers.
